JT North West Limited

1. Definitions

In these Conditions:

“the Company” means JT North West Limited.

“the Customer” means the individual, company, contractor, developer or organisation purchasing goods or services from the Company.

“the Works” means all services, labour, plant hire, groundwork, civil engineering, drainage, road and sewer works, earthworks, site preparation, excavation, surfacing, construction works, and any related services supplied by the Company.

“the Goods” means any materials, products, equipment or items supplied by the Company in connection with the Works.

“the Conditions” means the terms set out in this document together with any additional terms agreed in writing by the Company.

“the Contract” means the agreement between the Company and the Customer for the supply of Goods and/or Works.

These Terms & Conditions do not apply to consumers.

For the purpose of these Conditions, a consumer means an individual acting outside of their trade, business or profession.


2. Basis Of Contract

All quotations, estimates and tenders provided by the Company are subject to these Conditions unless otherwise agreed in writing.

Any quotation provided by the Company shall remain valid for 30 days unless otherwise stated.

No variation to these Conditions shall apply unless agreed in writing by a Director of the Company.

The Company reserves the right to amend quotations where:

  • site conditions differ from those originally advised,
  • additional works are required,
  • specifications change,
  • delays occur outside of the Company’s control,
  • or unforeseen ground conditions are encountered.

Any cancellation by the Customer after acceptance of a quotation may result in charges for:

  • labour already committed,
  • plant hire,
  • materials ordered,
  • administration costs,
  • and loss of scheduled work.

The Company reserves the right to charge for delays, aborted visits, downtime, or suspended works caused by the Customer, site conditions, or third parties.


3. Quotations & Specifications

All drawings, descriptions, measurements and specifications provided by the Company are for guidance only unless confirmed in writing.

The Customer is responsible for ensuring all information provided to the Company is accurate, including:

  • site access,
  • levels,
  • service locations,
  • boundaries,
  • permissions,
  • and utility information.

The Company shall not be liable for inaccuracies resulting from incomplete or incorrect information supplied by the Customer or third parties.


4. Price

All prices are exclusive of VAT unless otherwise stated.

The Company reserves the right to adjust pricing where there are increases in:

  • material costs,
  • fuel costs,
  • labour costs,
  • waste disposal charges,
  • plant hire costs,
  • or supplier charges.

Additional works requested by the Customer outside the original quotation will be charged separately.


5. Payment

Unless otherwise agreed in writing, payment terms are strictly 30 days from the invoice date.

The Company reserves the right to request:

  • deposits,
  • staged payments,
  • or payment in advance.

Time for payment shall be of the essence.

Late payments may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

The Customer shall not withhold payment due to disputes, retention issues, delays caused by third parties, or ongoing snagging unless agreed in writing.

The Company reserves the right to suspend works where payments become overdue.

Any costs incurred by the Company in recovering unpaid invoices, including legal costs and debt recovery fees, shall be payable by the Customer.


6. Delivery, Site Access & Working Conditions

The Customer shall provide safe and suitable access to site for:

  • personnel,
  • delivery vehicles,
  • machinery,
  • and plant equipment.

The Company reserves the right to refuse access where site conditions are considered unsafe.

Any delays caused by:

  • restricted access,
  • unsuitable ground conditions,
  • weather,
  • third party contractors,
  • utility companies,
  • or site readiness

may result in additional charges.

The Customer is responsible for obtaining any permissions, permits, traffic management approvals or licences required for the Works unless otherwise agreed.

Where materials are delivered to site, risk passes to the Customer upon delivery.


7. Programme & Delays

Any programme dates or completion dates provided by the Company are estimates only.

The Company shall not be liable for delays caused by:

  • weather conditions,
  • utility providers,
  • local authorities,
  • labour shortages,
  • material shortages,
  • site conditions,
  • or circumstances beyond its reasonable control.

The Company reserves the right to revise schedules where necessary.


8. Inspection & Defects

The Customer shall inspect the Works and notify the Company in writing of any alleged defects within 7 days of completion.

The Company shall be given reasonable opportunity to inspect and rectify any defects before third parties are instructed to carry out remedial works.

The Company shall not be liable for:

  • damage caused by third parties,
  • misuse,
  • lack of maintenance,
  • fair wear and tear,
  • or works altered after completion.

9. Liability

Nothing in these Conditions shall exclude liability for death or personal injury caused by negligence.

Subject to the above, the Company’s total liability arising from any claim shall not exceed the value of the relevant Contract.

The Company shall not be liable for:

  • indirect losses,
  • loss of profit,
  • business interruption,
  • consequential losses,
  • delays caused by third parties,
  • or costs incurred due to programme overruns outside its control.

The Company shall not be responsible for underground services not identified prior to commencement of works.

The Customer is responsible for ensuring all utility drawings and service information are accurate and up to date.


10. Retention Of Title

Ownership of Goods supplied by the Company shall remain with the Company until full payment has been received.

The Company reserves the right to recover Goods or materials where invoices remain unpaid.


11. Health & Safety

The Customer shall ensure the site complies with all relevant health and safety legislation.

The Company reserves the right to stop works where unsafe conditions are identified.

The Customer shall provide details of:

  • asbestos risks,
  • underground services,
  • contaminated ground,
  • and any known hazards before works commence.

12. Insurance

The Company maintains appropriate public liability insurance.

Unless otherwise agreed, the Customer is responsible for insuring:

  • the site,
  • existing structures,
  • and any materials once delivered.

13. Force Majeure

The Company shall not be liable for failure or delay in performing its obligations where caused by events beyond its reasonable control including but not limited to:

  • extreme weather,
  • flooding,
  • strikes,
  • fuel shortages,
  • utility failures,
  • acts of God,
  • war,
  • pandemics,
  • or government restrictions.

14. Termination

The Company reserves the right to suspend or terminate the Contract immediately where:

  • invoices remain unpaid,
  • the Customer breaches these Conditions,
  • the Customer becomes insolvent,
  • or site conditions become unsafe.

The Customer shall remain liable for all costs incurred up to the termination date.


15. Data Protection

Any personal data supplied to the Company shall be processed in accordance with applicable UK data protection legislation.


16. Governing Law

These Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes arising shall be subject to the exclusive jurisdiction of the English courts.
